Terms & Conditions

Napa is a seller of parts for vehicles, and upon request of the buyer installs the parts free of charge.
Additionally, Napa provides limited services at a charge.

As to the parts sold and services provided the following general terms and conditions apply.

Definitions:

the seller: “NAPA”, Netherlands Antilles Parts & Agencies N.V. (Bonaire).
the buyer: the original buyer, not including a subsequent buyer.

Seller's Warranty

This warranty does not affect the legal rights of a buyer, acting for purposes not related to a business, profession or trade, under applicable legislation governing the sale of consumer goods.
A manufacturer’s warranty, as described or indicated on goods sold, is not extended by seller to goods sold on Curaçao or Aruba or Bonaire (whichever is applicable), as this warranty is designed for sales under different conditions and different circumstances, unless this is specifically noted on the proof of purchase.

Seller bears no responsibility when parts sold are not handled properly, are not properly installed, are not installed by a certified mechanic, or do not function properly in conjunction with other parts because of technical requirements and/or specifications. It is impossible for Napa to have knowledge of all technical requirements and/or specifications of all various types of automobiles, and the buyer may not expect such knowledge.

The seller’s warranty is limited to the following.

- Warranty on Batteries

The warranty period on batteries is 12 (twelve) months for batteries for automobiles for personal use and 6 (six) months for automobiles for commercial use.

- Warranty on Tires

The warranty on tires covers only partial or total defect of the under-tread (‘rijvlak’) caused by a manufacturing defect for a period of 12 (twelve) months for tires for automobiles for personal use and 6 (six) months for tires for automobiles for commercial use.

- Electronic Parts or Equipment

Electronic parts or equipment are excluded from this warranty. This includes but is not limited to e.g. spark plugs, ignition points, bulbs.

- Warranty for Limited Service

Seller warrants proper workmanship in separately charged limited services, such as oil change. Complaints regarding these services should be made within 1 (one) week.

Examination by the buyer.

Timely notice. Proof of purchase

Buyer will be deemed to have examined goods sold or work done as fully as is necessary for the purposes of determining whether there are defects or flaws in goods or workmanship. Notice of defects in goods sold shall be given to the seller within 8 (eight) days. Failure to give timely notice will be conclusive evidence of due fulfillment of the seller’s obligations under the contract.

Any claim of nonconformity of the goods or lack of proper workmanship must be accompanied by sufficient proof of purchase from NAPA, such as by way of the original purchase receipt.

Limitation as to remedies: repair or replacement. Store credit

Goods which have been, during the warranty period, timely reported by the buyer as defective in material or workmanship and are so found by seller upon examination, will be repaired or replaced at seller’s option, or at seller’s option store credit or money back will be given. Replaced or refunded goods will not be returned to buyer.
Any store credit has a validity of 6 (six) months. To redeem a store credit, buyer must present the original store credit at the store of purchase. No cash back on store credit will be given and any unused amount on the store credit will expire.

If replacement of a battery is necessary, the battery will be replaced with a battery of the same size and capacity. Within 90 (ninety) days of purchase, replacement is free of charge and the warranty period will remain from the original date of purchase. After 90 (ninety) days of purchase, payment will be charged on a pro rata basis (number of months of use divided by the warranty period – 6 (six) or 12 (twelve) -, multiplied by the current retail price of the new battery) and a new warranty will be given.

Additional conditions apply:

    • The warranty does not extend to batteries merely discharged.

    • Seller reserves the right to have the battery charged for at least 4 (four) hours in order to determine whether the battery is defective or not.

    • The warranty does not cover damage to batteries which have been opened or tampered with in any matter, including the use of any special additive or non-recommended electrolyte.

    • Seller will not be liable in case of willful abuse or neglect, destruction by fire, collision, explosion, theft, recharging or failure to properly maintain the battery.

Disclaimer of liability

The seller shall not be liable for any damages, either direct or consequential, resulting from defective goods or improper workmanship. Seller will, e.g., not be liable for damages to automobiles of buyer or other automobiles, personal injury, loss of income or loss of profits. Seller will be under no obligation to provide alternative transport (rental car). In any event, the seller’s liability will not be in tort, unless in case of intentional harm or gross negligence.

Safety instructions

Buyer should at all times follow safety instructions by seller, such as e.g. posted on the premises on boards, in order to avoid risk of personal injury or damages to personal belongings. Buyer is under no circumstances allowed to enter prohibited designated areas and seller is not liable for any resulting injury or damages.

Severability

Should in judicial proceedings a specific provision of these terms and conditions be deemed not applicable or invalid, the remainder will still be held applicable.

Judicial proceedings

Any claim arising in connection with parts sold or services provided must be brought within 1 (one) year of the date of original sale or services provided, at the Gerecht in Eerste Aanleg of Curaçao or Aruba or Bonaire (whichever is applicable).

Entire agreement

No liability for statements personnel or for work done on the premises by personnel outside the scope of the agreement with seller

These general terms and conditions are a complete and exclusive statement of the obligations of the seller. Specifically, any oral statements of seller’s personnel are not to be considered binding upon seller. Seller explicitly excludes any liability for work done by personnel on the

premises outside the scope of the agreement with seller. If any of the provisions of these general terms and agreement is deemed invalid, all other provisions will remain in force and binding.
